These terms apply when a business ("you", the seller) uses naits. naits is provided by Sapply AS, Norway, org. no. 935 038 278 ("we"). Contact: privacy@sapply.io.
1. What naits is
naits is software. It lets you write an agreement with a payment plan, send it to your client, have it signed with a one-time code sent by e-mail, request payments and send invoices as PDF or EHF / Peppol e-invoices.
naits is software only:
- We never hold money. Card and bank payments go straight to your own Stripe account or bank account. We are not a payment institution, a bank or a collection agency.
- We don't give credit. We don't finance, buy or guarantee your invoices.
- We don't give legal, tax or accounting advice. Templates, checks and AI suggestions are help, not advice. You decide what your agreements and invoices say.
2. Your account
naits is currently invitation-only. You must be a business and give correct company details. You are responsible for what happens in your account, for keeping your password safe, and for the people you give access to.
3. Your agreements, invoices and clients
You are responsible for the content of your agreements and invoices, including prices, VAT, payment terms and whether an electronic signature with a one-time code is suitable for the agreement. The agreement is between you and your client — we are not a party to it.
You are the controller for your clients' personal data. We process it on your behalf under our data processing agreement (/dpa), which is part of these terms.
4. Payments and e-invoices
Payments run through your own Stripe account under Stripe's terms. You must connect and keep your own Stripe account to take card payments. EHF / Peppol e-invoices are delivered through our access-point partner. We can't guarantee that a payment is made, that a client pays on time, or that a receiver accepts an invoice.
5. AI features
The AI agreement check and AI writing help are optional. They can be wrong or incomplete. They never set prices, VAT or the payment plan. Read everything before you send it.
6. Plans and payment
The current plans and prices are on /pricing. Pro is a monthly subscription, paid in advance, and you can cancel at any time. See /refunds for cancellation and refunds. We may change prices with at least 30 days' notice by e-mail.
7. Acceptable use
Don't use naits for anything unlawful, for fraud, for spam, or to send agreements or invoices for goods or services you don't actually provide. Don't try to break, overload or get around the security of the service. We may suspend accounts that break these rules.
8. Availability and changes
We work to keep naits available and secure, but the service is provided "as is" and may have interruptions. We may change or remove features. If a change takes away something important you pay for, we'll tell you in advance.
9. Liability
We are not liable for indirect losses, such as lost profit, lost data or a client who doesn't pay. Our total liability in any 12-month period is limited to what you paid us for naits in that period. Nothing in these terms limits liability that can't be limited by law.
10. Ending
You can close your account at any time. We may end the agreement with 30 days' notice, or straight away if you seriously break these terms. When your account closes, we delete or return your data as described in /privacy and /dpa.
11. Changes to these terms
We may update these terms. We'll tell you about important changes by e-mail at least 30 days before they apply.
12. Law and disputes
Norwegian law applies. Disputes go to Oslo District Court (Oslo tingrett), unless the law says otherwise.
